These Terms and Conditions ("Agreement") govern your access to, and use of www.adoozle.com and all related services (collectively, the "Services"), operated by ZipVentures, Inc., a Wyoming corporation ("ZipVentures," "Adoozle," "Company," "we," "us," or "our").

By accessing the Services, purchasing a listing, submitting information, or otherwise using the Services, you ("User," "you," or "your") agree to be legally bound by this Agreement. If you do not agree to these Terms, you must not use the Services.

1. NATURE OF SERVICES

Adoozle is an artificial intelligence-powered business directory that creates, publishes, and maintains informational business profile listings. Listings are generated using proprietary and third-party artificial intelligence systems based on publicly available information and/or information provided by the User.

The Services are provided solely for informational, indexing, discovery, and reference purposes. ZipVentures does not validate, certify, endorse, or guarantee the accuracy, completeness, legality, or reliability of any listing or business.

ZipVentures retains full editorial control over all listings, including creation, modification, formatting, and removal.

2. LISTING PURCHASE, ONE-TIME PAYMENT, NO REFUND POLICY

Adoozle offers directory listings for a one-time payment fee. By purchasing a listing, User acknowledges and agrees that:

• The listing fee is a one-time, non-recurring payment
• Listings are not subscriptions and do not require renewal fees
• All payments are final and non-refundable
• No refunds will be provided under any circumstance, including dissatisfaction, perceived performance, or business outcomes

Payment of the listing fee grants inclusion in the Adoozle directory subject to the terms of this Agreement.

3. LIFETIME LISTING DEFINITION

Listings are provided for the operational lifetime of the Adoozle platform ("Lifetime Listing").

"Lifetime" refers solely to the period during which Adoozle continues to operate and does not guarantee availability for any minimum duration or period of time.

ZipVentures reserves the right, at its sole discretion, to modify, suspend, discontinue, or terminate the Services or any listing at any time without liability or obligation to provide refunds.

ZipVentures has no obligation to maintain the directory indefinitely.

4. ARTIFICIAL INTELLIGENCE (AI) GENERATED CONTENT

User acknowledges that listings are created using artificial intelligence systems and automated processes. Listing content may include descriptions, summaries, categorizations, and other informational elements and may contain inaccuracies, omissions, or outdated information.

ZipVentures makes no representations or warranties regarding the accuracy, completeness, reliability, or correctness of listing content and has no obligation to modify, update, or correct such content.

ZipVentures retains full ownership and control over all listing content.

5. NO GUARANTEE OF VISIBILITY, INDEXING, OR RESULTS

ZipVentures makes no guarantees regarding:

• Search engine indexing or rankings
• Artificial intelligence indexing or visibility
• SEO performance
• Website traffic
• Leads, customers, or revenue
• Business growth or financial results

ZipVentures does not control search engines, artificial intelligence platforms, or third-party systems and assumes no responsibility for how listings are indexed, displayed, or used.

User acknowledges that listing purchase does not guarantee marketing, SEO, or business performance.

6. INFORMATION PURPOSES ONLY & NO RELIANCE

Directory listings are provided solely for informational purposes. User agrees that they do not rely on the Services for financial, business, legal, investment, or commercial decisions.

ZipVentures shall not be liable for any decisions made based on listing content.

7. NEUTRAL PLATFORM STATUS

Adoozle operates solely as a neutral directory and technology platform.

Some listings, sections, or placements within the directory may include businesses that have paid fees, promotional fees, advertising fees, affiliate fees, or other forms of compensation to ZipVentures ("Promoted Listings"). Such compensation may influence placement, visibility, categorization, or inclusion within certain sections of the directory.

User acknowledges and agrees that:

• Compensation or promotional placement does not constitute a certification, guarantee, or warranty of any business
• ZipVentures does not act as an agent, broker, partner, or representative of any listed business
• ZipVentures does not participate in transactions between users and listed businesses
• ZipVentures shall not be responsible for any interactions, transactions, losses, or damages resulting from dealings with listed businesses

All listings, including Promoted Listings, are provided for informational purposes only.

8. USER REPRESENTATIONS & RESPONSIBILITIES

User represents and warrants that:

• They have legal authority to provide business information
• Their business operates lawfully
• Any information provided is truthful and accurate

User agrees not to use the Services for unlawful, misleading, or fraudulent purposes. ZipVentures reserves the right to refuse, suspend, or remove listings at its sole discretion.

9. INTELLECTUAL PROPERTY

All content, software, artificial intelligence systems, directory structure, and technology associated with the Services are the exclusive property of ZipVentures and/ or their respective owners.

Users receive no ownership interest in the Services or listings. Users may not copy, scrape, reproduce, distribute, reverse engineer, or exploit any portion of the Services without written permission.

10. DISLCAIMER OF WARRANTIES

The Services are provided on an "as-is" and "as-available" basis. ZipVentures expressly disclaims all warranties, express or implied, including accuracy, reliability, merchantability, fitness for a particular purpose, and non-infringement.

ZipVentures does not warrant that the Services will be uninterrupted, secure, or error-free.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by law, ZipVentures shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, business, data, or reputation.

ZipVentures' total liability shall not exceed the amount paid by User for the listing. User's sole and exclusive remedy shall be limited to the listing fee paid.

12. RELEASE OF CLAIMS

User releases ZipVentures from any and all claims, damages, or liabilities arising from:

• Directory listings
• Artificial intelligence generated content
• Business visibility or performance
• Search engine or AI indexing
• Use of the Services

This release applies to all known and unknown claims.

13. INDEMNIFICATION

User agrees to indemnify, defend, and hold harmless ZipVentures from any claims, damages, losses, liabilities, or expenses arising from:

• User's business
• Information provided by User
• User's use of the Services

14. THIRD-PARTY SYSTEMS

ZipVentures assumes no responsibility for third-party systems, including search engines, artificial intelligence platforms, or other indexing systems.

15. FORCE MAJEURE

ZipVentures shall not be liable for any delay or failure caused by events beyond its reasonable control, including technical failures, cyber incidents, internet outages, natural disasters, or government actions.

16. DISPUTE RESOLUTION, ARBITRATION, & CLASS ACTION

Any dispute arising from this Agreement shall be resolved exclusively through binding arbitration conducted in Wyoming under the rules of the American Arbitration Association.

User and ZipVentures waive any right to a jury trial. User agrees that disputes shall be resolved only on an individual basis and waives any right to participate in class actions, class arbitrations, or collective proceedings.

Any claim must be filed within one (1) year, or it is permanently barred.

17. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Wyoming.

18. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between User and ZipVentures. ZipVentures may update these Terms at any time. Continued use of the Services constitutes acceptance of any updates.
